These Terms of Service ("Terms") govern your access to and use of the BeEasy OS platform (the "Service") provided by BeEasy Contracting LLC ("BeEasy," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.
Notice: These Terms include an arbitration clause and class-action waiver (Section 13). By using the Service you agree to resolve disputes through binding individual arbitration, except as permitted under that section.
1. Eligibility & Account
- You must be at least 18 years old and legally able to form a contract.
- You must provide accurate information and keep it updated.
- You are responsible for safeguarding your credentials and for all activity on your account.
- Accounts may not be shared. Each user must have their own account.
2. Roles & Access
The Service uses role-based access control. Access to leads, projects, pricing, finances, and other data is restricted based on the role assigned to your account (owner, regional, sales manager, sales rep, PM, site manager, estimator, subcontractor, recruiter, employee, or pending). You agree not to attempt to circumvent these access controls.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or to violate any applicable law or regulation.
- Upload or transmit any content that is infringing, defamatory, harassing, or otherwise objectionable.
- Interfere with, disrupt, or attempt to gain unauthorized access to any portion of the Service.
- Reverse engineer, decompile, or disassemble any part of the Service, except to the extent such restriction is prohibited by applicable law.
- Use the Service to transmit malware, phishing content, or any other harmful code.
- Scrape, harvest, or collect information about other users without their consent.
- Resell, license, or sublicense access to the Service without written permission.
4. Subscription & Billing
If you subscribe to a paid plan:
- Fees are billed in advance on a recurring basis (monthly or annual) depending on the plan you select.
- Subscriptions automatically renew unless canceled before the renewal date.
- You may cancel at any time from within your account settings; cancellation takes effect at the end of the current billing period.
- Except as required by law, fees are non-refundable.
- We reserve the right to change pricing. We will provide at least 30 days' notice of any price increase affecting active subscriptions.
5. Subcontractor Payouts
For users functioning as subcontractors:
- Payouts are calculated based on your configured rate tier (typically 43%–50% of the project value).
- Payouts are processed via PayPal Payouts. You are responsible for ensuring your PayPal account information is accurate.
- 1099 tax forms are issued annually if payouts exceed the applicable IRS threshold in a tax year.
- BeEasy does not withhold taxes from subcontractor payouts.
6. Intellectual Property
- The Service, including all software, design, branding, and content (except content you upload), is owned by BeEasy and protected by intellectual property laws.
- You retain ownership of data you upload (project files, photos, notes) and grant BeEasy a limited license to use it to provide the Service.
- BeEasy holds a patent pending on the multi-role dispatch architecture underlying the Service. Unauthorized use or reproduction is prohibited.
7. AI Features
The Service includes AI-powered features (collectively, "KOVA"). KOVA outputs are generated by machine learning models and may contain errors or inaccuracies. You are responsible for reviewing KOVA outputs before acting on them, especially for legal, financial, pricing, contract, or safety-related decisions. BeEasy disclaims warranties regarding the accuracy or fitness of AI outputs for any particular purpose.
8. Third-Party Services
The Service integrates with third-party providers including Supabase, PayPal, Anthropic, and others. Your use of those services is governed by their own terms and privacy policies. BeEasy is not responsible for the acts or omissions of third-party providers.
9. Termination
- You may terminate your account at any time.
- We may suspend or terminate your account, with or without notice, for violation of these Terms, non-payment, fraud, or suspected abuse.
- Upon termination, your right to use the Service ends immediately. Certain sections of these Terms survive termination (e.g., IP, disclaimers, limitations of liability, dispute resolution).
10. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and reliability. BeEasy does not warrant that the Service will be uninterrupted, secure, or error-free. The Service is not a substitute for professional legal, financial, accounting, or construction-code advice.
11. Limitation of Liability
To the maximum extent permitted by law, BeEasy's total liability to you for any claim arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid to BeEasy in the 12 months preceding the event giving rise to the claim, or (b) $100. In no event will BeEasy be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages.
12. Indemnification
You agree to indemnify and hold harmless BeEasy, its officers, directors, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party rights or applicable law.
13. Dispute Resolution & Arbitration
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring individual claims in small claims court. You waive the right to participate in a class action, class arbitration, or representative action. Arbitration shall take place in the state of the user's residence or, for business users, in the State of Texas. The governing law is the law of the State of Texas, without regard to conflict-of-laws principles.
14. Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will notify you at least 7 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Miscellaneous
- Entire Agreement: these Terms, together with the Privacy Policy, are the entire agreement between you and BeEasy.
- Severability: if any provision is found unenforceable, the remaining provisions continue in full force.
- No Waiver: failure to enforce any right or provision is not a waiver of that right.
- Assignment: you may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
